Stroock represents private equity and venture capital firms in all aspects of their investments, including acquiring and disposing of portfolio companies, negotiating the terms of complex securities and preparing regulatory reports for the SEC. We serve as counsel in transactions for numerous portfolio companies and have represented private companies in their negotiations with investors. Recent representations include Jefferies Capital Partners in its portfolio investments; funds managed by Wheatley Partners in its portfolio investments, as well as its portfolio companies in M & A exit transactions; Emigrant Capital Corporation in its venture capital investments; and CSTV Networks in its merger with CBS Television, which followed various rounds of investments led by Soros Private Equity Investors and J.P.Morgan Partners.
